Dragonsteel NDA

This is an agreement between you and Dragonsteel, LLC for the purpose of preventing the unauthorized disclosure of Confidential Information that you may interact with or learn during your tasks as a translator. What is Confidential Information? Confidential Information is any Dragonsteel-related information, whether it be plot details before a Dragonsteel work is released to the public, or any information that Dragonsteel does not wish to be widely disseminated to the public. This includes, but is not limited to, any Dragonsteel work received before the date that the work is released to the public, whether it be in electronic or in hard-copy form and a full manuscript or an excerpt. What am I agreeing to? You agree that, except for with Approved Recipients as described in the Guidelines herein below, you will not redistribute, copy (either electronically or physically), share, or make public any Confidential Information in any size or quantity to any third party. You understand that this includes but is not limited to piracy, speaking about manuscript contents with anyone, and duplicating the manuscript in any form other than to facilitate personal accessibility. You may share details with a medical or mental health professional if such information is beneficial to your treatment. Such interaction is protected by patient privilege and does not require the other party in this instance to sign a version of this Agreement. This Agreement is governed by the laws of the state of Utah. Any legal actions arising out of disputes under this Agreement shall be brought exclusively in the Utah Fourth District Court in American Fork, Utah or in the Federal District Court for the District of Utah in Salt Lake City, Utah if jurisdiction and venue are there available. The prevailing party in any action, suit, or proceeding to enforce this Agreement shall be entitled to reasonable costs and attorney fees. You agree to indemnify Dragonsteel for all damages, including reasonable costs and attorney fees, arising from your breach of this Agreement. You agree that this Agreement will be valid indefinitely, until the distributed work or any specific information is made available to the general public. Any parts of any work that do not make it into the published version cannot be discussed without the consent of Dragonsteel. Guidelines An “Approved Recipient” is an individual whom Dragonsteel has identified to you as being under a similar NDA obligation and who is approved by Dragonsteel for you to disclose and discuss the Confidential Information. BEFORE BRANDON PUBLICLY ANNOUNCES THIS PROJECT, you may not even mention to anyone that this project exists, nor that you are beta reading it. AFTER BRANDON PUBLICLY ANNOUNCES THIS PROJECT, you may only talk in a general sense about participating in the early read, on social media or in person. Nothing further than confirming that you are participating is allowed. This includes the contents of the book and the identities of other participants. Upon written approval from Dragonsteel, and after such individual has signed a non-disclosure agreement with Dragonsteel, you may share the draft version that you receive with family members who live in the same household as you, as Approved Recipients. However, approval will not be given until after the public announcement. You may print a copy of the draft version if it aids your ability to comment on it. However, that printed copy is subject to the same restrictions and protections of this Agreement. The printing must be a simple printing to a physical printer. You may not upload your draft version to any 3rd party printing or binding service. Dragonsteel will provide an end date for the reading and commenting period, and has the right to change this end date by written notice at any time. Once the reading and commenting period has completed, you may give a general impression review of the book that contains no spoilers for any information included in the book. You may release a spoiler review on the public release date of the book. However, you may not discuss changes from the draft version to the final version unless you clear it with Dragonsteel first.
